1. Contract Formation
These Terms shall apply exclusively. Any Buyer terms are rejected unless expressly agreed in writing. Contract is formed upon written acceptance or commencement of work.
2. Scope of Supply
Scope is strictly limited to JTR quotation. All items not expressly included are excluded. Buyer is responsible for materials, utilities, fixturing, upstream and downstream processes, and overall production integration.
3. Interface Responsibility
JTR is responsible solely for the supplied system. Buyer is responsible for all external interfaces including part presentation, material condition, and downstream operations.
4. Variations
Any change to scope, specification or schedule constitutes a variation. Variations shall be instructed in writing and charged at JTR standard rates. JTR is entitled to extensions of time and recovery of all associated costs.
5. Price and Payment
Payment terms as stated in quotation. Payments are due without set off. JTR may suspend work for non-payment and recover costs incurred.
6. Rates
Standard rates apply unless otherwise agreed: Engineering, commissioning, travel, standby, and additional work. All delays caused by Buyer shall be chargeable.
7. Delivery
Delivery dates are estimates. JTR is entitled to extensions for delays outside its control and recovery of associated costs.
8. Acceptance (FAT/SAT)
FAT conducted at JTR premises where applicable. SAT conducted subject to site readiness. Acceptance deemed achieved upon sign-off or beneficial use or 5 working days after completion.
9. Acceptance Criteria
Acceptance shall be based solely on agreed criteria. Any requirements not explicitly defined are excluded.
10. Commissioning
Commissioning includes verification of system operation only. Process optimisation, material variability, and production tuning are excluded unless stated.
11. Welding / Process Responsibility
JTR does not guarantee weld quality, production rate, or performance beyond agreed parameters. Buyer is responsible for material condition, joint preparation, consumables, and process inputs.
12. Third Party Equipment
Third-party equipment is subject only to manufacturer warranties. JTR accepts no additional liability.
13. Site Responsibilities
Buyer is responsible for site readiness, utilities, safety compliance, access, and lifting equipment.
14. Warranty
12 months from commissioning or 18 months from delivery. Limited to repair or replacement. Excludes consumables, misuse, and third-party equipment.
15. Performance
Performance dependent on materials, environment, operator and process variables. No guarantee of production output or weld quality beyond agreed parameters.
16. Software and Controls
All software, PLC code, and robot programs remain property of JTR. Buyer granted non-exclusive licence. No modification without consent.
17. Limitation of Liability
Total liability capped at 100% of contract value. No liability for indirect or consequential losses including loss of production or profit.
18. Liquidated Damages
No liquidated damages apply unless expressly agreed in writing.
19. Suspension and Termination
JTR may suspend work for non-payment. Buyer termination requires payment for all completed work, materials, and margin on remaining scope.
20. Force Majeure
Neither party is liable for delays due to events beyond reasonable control.
21. Health and Safety
Buyer responsible for overall site safety and integration. JTR is responsible for supplied equipment.
22. Intellectual Property
All intellectual property remains with JTR. Buyer granted licence for intended use only.
23. Governing Law
These Terms governed by the laws of Scotland.
